1. Acceptance of Terms

By signing up for and using Writedown ("Service"), a product by Pixel Kinetics LLC, you agree to comply with and be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Service.

2. Privacy and Encryption

Writedown is a privacy-first platform. All data is stored encrypted, not cleartext, regardless of your encryption election. We offer End-to-End Encryption (E2EE) as peace of mind to further secure your data. For E2EE vaults, we do not have access to your private cryptographic keys, meaning we cannot decrypt, view, or recover your documents.

3. Limitation of Liability for Lost Data

Because of our zero-knowledge architecture, you are solely responsible for managing your decryption keys (such as your Recovery Phrase or Hardware Seed). In no event shall Pixel Kinetics LLC be liable for any lost data, business materials, documents, or damages resulting from the loss of your encryption keys, user error, system failures, software bugs, or other catastrophic events. The Service is provided "as is," and we assume no responsibility for data loss or corruption, even if such loss is caused by defects, updates, or outages within the Writedown platform.

4. Acceptable Use and Account Termination

You agree to use the Service only for lawful purposes. You must have reached the age of majority in your jurisdiction to form a binding contract. You are strictly prohibited from using Writedown to store, share, or transmit infringing, unlawful, threatening, defamatory, obscene, pornographic, or malware-infected content. We reserve the right, at our sole discretion and without notice, to terminate or restrict your access to the Service for any reason, including violation of these terms.

5. Intellectual Property and Software License

The Service, including the Writedown software and all associated intellectual property, is licensed to you, not sold. We grant you a limited, non-exclusive, non-transferable license to access and use the Service. You may not reverse engineer, decompile, modify, sub-license, distribute, or use our software to build a competing product or service. Pixel Kinetics LLC retains all rights, title, and interest in and to the Service.

6. Customer Indemnification

You agree to indemnify, defend, and hold harmless Pixel Kinetics LLC and its affiliates from any claims, damages, liabilities, and costs (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of these Terms, or your sharing of content (such as via w-d.to short links) that violates applicable laws or third-party rights.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction of Pixel Kinetics LLC, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts located in our jurisdiction. Any cause of action you may have must be commenced within one (1) year after the claim or cause of action arises.

8. Modification of Terms

We reserve the right to update or modify these Terms and Conditions at any time. Continued use of the Service after any changes constitutes your acceptance of the new terms.
